You can contact us by phone at (+1) 301-879-8700 or email at support@extendusa.com.
By accessing or using the Services, you confirm that you have read, understood, and agree to be legally bound by these Legal Terms. IF YOU DO NOT AGREE TO ALL OF THESE LEGAL TERMS, YOU ARE NOT ALLOWED TO USE THE SERVICES AND MUST STOP USING THEM IMMEDIATELY.
Additional terms or documents that may be posted on or through the Services from time to time are made part of these Legal Terms by this reference. This includes, without limitation, the Course Enrollment Agreement and Release that applies to enrollment in our online training and certification courses.
We may change or update these Legal Terms at any time, at our sole discretion. When we do, we will update the "Last updated" date above. By continuing to use the Services after updated Legal Terms are posted, you agree to those changes. You understand and agree that it is your responsibility to review these Legal Terms periodically to stay informed of any updates.
The Services are intended for individuals who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.
We recommend you print or save a copy of these Legal Terms for your records.
OUR SERVICES
The information and Services we provide are not intended for use by any person or entity in any country or jurisdiction where such use would be contrary to law or regulation, or where it would require us to register in that jurisdiction. If you access the Services from outside the United States, you do so on your own initiative and are solely responsible for following all local laws that apply to you.
The Services are not designed to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), or similar laws. If your use of the Services would be subject to those laws, you may not use the Services. You may also not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We own, or are licensed to use, all intellectual property rights in the Services. This includes, without limitation:
- all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the "Content"), and
- all trademarks, service marks, and logos (the "Marks").
The Content and Marks are protected by copyright, trademark, and other intellectual property and unfair competition laws in the United States and around the world.
We provide the Content and Marks through the Services "AS IS" for your personal, non-commercial use or internal business purposes only.
Your right to use our Services
So long as you comply with these Legal Terms, including the "PROHIBITED ACTIVITIES" section, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- access and use the Services; and
- download or print a copy of any Content you have lawful access to,
solely for your personal, non-commercial use or internal business purposes.
Unless we clearly allow it in these Legal Terms or give you our express prior written permission, you may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Services, Content, or Marks for any commercial purpose whatsoever.
If you want to use the Services, Content, or Marks in any way not covered in these Legal Terms, you must send a written request to: support@extendusa.com.
If we grant you written permission to post, reproduce, or publicly display any part of the Services or Content, you must:
- clearly identify us as the owner or licensor of the Services, Content, or Marks, and
- ensure that any copyright, trademark, or other proprietary notices are displayed and remain visible on all copies and displays of the Content.
We reserve all rights in and to the Services, Content, and Marks that are not expressly granted to you by these Legal Terms.
Any violation of this Intellectual Property Rights section is a material breach of these Legal Terms and will automatically end your right to use the Services.
Your submissions and contributions
This section explains (a) what rights you grant to us and (b) what responsibilities you have when you send or post content through the Services. Please read it carefully, along with the "PROHIBITED ACTIVITIES" section.
Submissions. If you directly send us any question, comment, suggestion, idea, feedback, or other information about the Services (collectively, "Submissions"), you agree that: (a) you assign to us all intellectual property rights in those Submissions; and (b) we will exclusively own the Submissions and may use and share them for any lawful purpose, including commercial purposes, without acknowledging or compensating you.
Contributions. The Services may allow you to participate in chats, blogs, message boards, online forums, reviews, or similar features where you can create, submit, post, display, transmit, publish, distribute, or broadcast materials or information to us or through the Services, including text, writings, videos, audio, photographs, music, graphics, comments, reviews, ratings, suggestions, personal information, and any other content (collectively, "Contributions"). Any publicly posted Submission will also be treated as a Contribution. You understand that other users of the Services, and possibly users of third-party websites, may be able to view your Contributions.
Your responsibilities for what you post or upload
By sending us Submissions and/or posting Contributions through any part of the Services, or by making Contributions accessible through the Services via any linked social media or third-party account, you:
- Confirm content standards. You confirm that you have read and agree to follow our "PROHIBITED ACTIVITIES" rules and that you will not upload, post, send, publish, or transmit any Submission or Contribution that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, or threatening to any person or group, or that is sexually explicit, false, inaccurate, deceitful, or misleading.
- Waive moral rights where allowed. To the extent allowed by law, you waive any and all "moral rights" (such as rights of attribution or integrity) in your Submissions and/or Contributions.
- Confirm you have the rights. You confirm that your Submissions and Contributions are original to you, or that you have all necessary rights and licenses to submit them, and that you have full authority to grant us the rights described in this section.
- Confirm they are not confidential. You confirm that your Submissions and Contributions are not confidential and that you do not expect privacy or compensation for them.
You are solely responsible for your Submissions and Contributions. You agree to indemnify and reimburse us for any and all losses, costs, damages, liabilities, or expenses (including reasonable attorneys’ fees) that we suffer or incur as a result of your breach of this section, your violation of any third party’s intellectual property or other rights, or your violation of any applicable law.
Our right to remove or edit your content
We are not required to monitor any Contributions. However, we may, at any time and without notice to you, remove or edit any Contributions if, in our reasonable opinion, they are harmful or violate these Legal Terms. If we remove or edit your Contributions, we may also suspend or disable your account, and/or report you to law enforcement or other appropriate authorities.

Insert your Prohibited Activities list here (standard items include: unauthorized commercial use, scraping/data mining, circumventing security, impersonation, harassment of other users, uploading malicious code, framing/linking abuse, and reselling or redistributing course content). Your attorney can supply standard language.

- Accurate information. All registration information you provide will be true, accurate, current, and complete.
- Keep information up to date. You will keep your registration information accurate and promptly update it as needed.

- Compliance with laws. Your use of the Services will not violate any applicable law or regulation.
If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse any and all current or future use of the Services (or any part of them).
USER REGISTRATION
You may need to create an account to use some or all of the Services. You agree to keep your password confidential. You are responsible for all activity that occurs under your account and password. We may, in our sole discretion, remove, reclaim, or change any username you choose if we believe it is inappropriate, obscene, or otherwise objectionable.
PRODUCTS
We work hard to show the colors, features, specifications, and details of our products as accurately as possible on the Services. However, we do not guarantee that all colors, features, specifications, or details will be accurate, complete, reliable, current, or error-free, and your device or monitor may not display colors or details exactly as they appear in real life.
All products are subject to availability, and we cannot guarantee any item will be in stock. Products may be discontinued at any time, for any reason, and may change in price at any time, at our discretion.
PURCHASES AND PAYMENT
We accept the following forms of payment: Visa, Mastercard, American Express, PayPal, Venmo, Zelle, and Affirm.
You agree to provide current, complete, and accurate purchase and account information for all purchases made through the Services, and to promptly update your account and payment details (including email address, payment method, and card expiration date) so we can process transactions and contact you as needed.
Sales tax will be added to purchases when we determine it is required. We may change product prices at any time. All payments must be made in US dollars.
You agree to pay all charges at the prices in effect at the time of your purchase, including any applicable shipping fees, and you authorize us to charge your chosen payment method for these amounts when you place your order. We reserve the right to correct any pricing errors or mistakes, even if we have already requested or received payment.
We may, in our sole discretion, refuse any order placed through the Services, and limit or cancel quantities purchased per person, per household, or per order. These limits may apply to orders placed using the same customer account, the same payment method, or the same billing or shipping address. We also reserve the right to limit or prohibit orders that, in our judgment, appear to be placed by dealers, resellers, or distributors.
RETURN/REFUNDS POLICY
Before making a purchase, please review our Return Policy, which is posted on the Services. That policy explains our rules and procedures for returns and refunds.
SOFTWARE
We may provide software for use with the Services. If the software comes with an end user license agreement (EULA), the EULA will govern your use of that software. If there is no EULA, then we grant you a non-exclusive, revocable, personal, non-transferable license to use the software only in connection with the Services and in accordance with these Legal Terms.
All software and related documentation are provided "AS IS", without any warranty, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume all risk arising from the use or performance of any software. You may not reproduce or redistribute any software except as allowed by the applicable EULA or these Legal Terms.
CONTRIBUTION LICENSE
When you post your Contributions on any part of the Services, or make your Contributions available to the Services by linking your account to any of your social networking accounts, you automatically grant us (and you confirm that you have the right to grant us) an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully paid, worldwide license to:
- host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute your Contributions (including your image and voice), for any purpose (including commercial and advertising purposes);
- create derivative works from your Contributions or incorporate your Contributions into other works; and
- grant and authorize sublicenses for all of the above rights.
This use and distribution may happen in any media format and through any media channel, now known or later developed. This license applies to any form, media, or technology now known or later developed. It also includes our right to use your name, your company name and franchise name (if applicable), and any trademarks, service marks, trade names, logos, and personal or commercial images that you provide.
To the fullest extent permitted by law, you waive all moral rights in your Contributions, and warrant that no moral rights have otherwise been asserted in your Contributions.
We do not claim ownership of your Contributions. You retain full ownership of your Contributions and of any intellectual property or other proprietary rights in them.
We are not responsible or liable for any statements or representations in your Contributions. You are solely responsible for your Contributions to the Services, and you agree to release us from any and all responsibility related to your Contributions, and not to bring any legal claims or actions against us relating to your Contributions.
We may, in our sole and absolute discretion, at any time and without notice, edit, redact, or otherwise change any Contributions; re-categorize any Contributions to place them in more appropriate areas on the Services; and pre-screen or delete any Contributions, for any reason. We have no obligation to monitor your Contributions.
GUIDELINES FOR REVIEWS
We may provide areas on the Services where you can leave reviews or ratings. When you post a review, you agree to follow these rules:
- Firsthand experience. You must have direct, personal experience with the person or entity you are reviewing.
- No offensive language. Your reviews must not contain profanity or abusive, racist, offensive, or hateful language.
- No discrimination. Your reviews must not include discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation, or disability.
- No illegal content. Your reviews must not contain references to illegal activity.
- No competitor bias. If you are affiliated with a competitor, you must not post negative reviews about them.
- No legal conclusions. You must not make any conclusions or statements about the legality of anyone’s conduct.
- No false or misleading statements. You must not post anything you know (or should know) is false or misleading.
- No review campaigns. You must not organize or encourage a campaign asking others to post reviews, whether positive or negative.
We may accept, reject, or remove reviews in our sole discretion. We have no obligation to screen or delete reviews, even if someone considers them objectionable or inaccurate. Reviews are not endorsed by us and do not necessarily reflect our opinions or the opinions of any of our affiliates or partners, and are your own responsibility as the reviewer. We do not assume liability for any review or for any claims, liabilities, or losses resulting from any review.
By posting a review, you grant us a perpetual, non-exclusive, worldwide, royalty-free, fully paid, assignable, and sublicensable license to reproduce, modify, translate, transmit by any means, display, perform, and/or distribute all content associated with your review.
SOCIAL MEDIA
As part of the Services, you may link your account with online accounts you have with third-party service providers (each a "Third-Party Account") by providing your Third-Party Account login information through the Services, or allowing us to access your Third-Party Account as allowed by that provider’s terms and conditions.
You represent and warrant that you are allowed to share your Third-Party Account login information with us and/or grant us access to that account; that doing so does not violate any terms and conditions that apply to your Third-Party Account; and that doing so does not require us to pay any fees or make us subject to any usage limits imposed by the third-party service provider.
By granting us access to any Third-Party Account, you understand that we may access, make available, and store (if applicable) any content you have provided to and stored in your Third-Party Account (the "Social Network Content") so it can be available through the Services via your account, including, without limitation, your friend lists; and that we may send information to, and receive information from, your Third-Party Account to the extent described at the time you link your account with that Third-Party Account.
Depending on which Third-Party Accounts you connect and the privacy settings you have set in those accounts, personally identifiable information you post there may become available on and through your account on the Services. If a Third-Party Account or its related service becomes unavailable, or if the third-party provider ends our access, some or all Social Network Content may no longer be available through the Services. You may disable the connection between your account on the Services and your Third-Party Accounts at any time.
YOUR RELATIONSHIP WITH THIRD-PARTY SERVICE PROVIDERS IS GOVERNED SOLELY BY YOUR AGREEMENTS WITH THOSE PROVIDERS. We do not review Social Network Content for accuracy, legality, non-infringement, or any other purpose, and we are not responsible for any Social Network Content.
You acknowledge and agree that we may access the email address book associated with a Third-Party Account, and the contacts stored on your mobile device or tablet, solely to identify and inform you of contacts who have also registered to use the Services.
You can deactivate the connection between the Services and a Third-Party Account by contacting us using the contact information provided below or via your account settings (if available). We will attempt to delete from our servers any information obtained through that Third-Party Account, except for your username and profile picture that became associated with your account.
THIRD-PARTY WEBSITES AND CONTENT
The Services may contain (or you may be sent via the Site or App) links to other websites (the "Third-Party Websites") and content or items belonging to or originating from third parties, such as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other materials (collectively, "Third-Party Content").
We do not investigate, monitor, or check Third-Party Websites or Third-Party Content for accuracy, appropriateness, completeness, or compliance with any law. We are not responsible for any Third-Party Websites you access through the Services, or any Third-Party Content posted on, available through, or installed from the Services, including any content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in such Third-Party Websites or Third-Party Content.
Including, linking to, or allowing the use or installation of any Third-Party Websites or Third-Party Content does not mean we approve or endorse them. If you choose to leave the Services and visit a Third-Party Website, or use or install any Third-Party Content, you do so at your own risk, and these Legal Terms no longer apply. You should carefully review the applicable terms and policies (including privacy and data collection practices) of any site or application you visit or install from the Services.
Any purchases you make through Third-Party Websites are made on other websites, are with other companies, and are solely between you and that third party. We take no responsibility for such purchases. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites, and you will hold us harmless from any harm caused by your purchase of such products or services. You also agree to hold us harmless from any losses or harm you sustain that relate to, or result in any way from, any Third-Party Content or any contact with Third-Party Websites.
SERVICES MANAGEMENT
We reserve the right, but not the obligation, to:
- Monitor the Services for violations of these Legal Terms.
- Take appropriate legal action, in our sole discretion, against anyone who violates the law or these Legal Terms, including reporting such user to law enforcement authorities.
- Restrict content. In our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (where technologically feasible) any of your Contributions or any portion of them.
- Manage system load. In our sole discretion and without limitation, notice, or liability, remove from the Services or otherwise disable any files or content that are excessive in size or that place an unreasonable burden on our systems.
- Protect and operate the Services. Otherwise manage the Services in a way designed to protect our rights and property and to support the proper functioning of the Services.
PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy: https://www.extendusa.com/policies/privacy-policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.
Please note that the Services are hosted in the United States. If you access the Services from a region with laws or requirements governing personal data collection, use, or disclosure that differ from US law, then by continuing to use the Services, you are transferring your data to the United States, and you expressly consent to your data being transferred to and processed in the United States.
COPYRIGHT INFRINGEMENTS
We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes a copyright you own or control, you should promptly notify us using the contact information provided below (a "Notification"). A copy of your Notification may be sent to the person who posted or stored the material identified in your Notification. Under applicable law, you may be liable for damages (including costs and attorneys’ fees) if you materially misrepresent that content or activity is infringing. If you are unsure whether material available on or linked from the Services infringes your copyright, you should first consult with an attorney.
TERM AND TERMINATION
These Legal Terms remain in effect for as long as you use the Services.
WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE MAY, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON, FOR ANY REASON OR NO REASON, INCLUDING FOR ANY BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT IN THESE LEGAL TERMS, OR ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OF, OR PARTICIPATION IN, THE SERVICES, OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION YOU HAVE POSTED, AT ANY TIME AND WITHOUT WARNING.
If we suspend or terminate your account for any reason, you are prohibited from registering and creating a new account under your own name, a fake or borrowed name, or the name of any third party (even if you are acting on their behalf). We reserve the right to take appropriate legal action, including but not limited to seeking civil, criminal, and injunctive relief.
MODIFICATIONS AND INTERRUPTIONS
We reserve the right, at any time and for any reason, in our sole discretion, to change, modify, or remove any content on the Services, and/or modify or discontinue all or part of the Services, in each case without notice. We have no obligation to update any information on the Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
We cannot guarantee that the Services will always be available or operate without interruption. From time to time, we may experience hardware, software, or other technical issues, or need to perform maintenance, which may result in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason, without notice to you.
You agree that we are not liable for any loss, damage, or inconvenience you suffer because you cannot access or use the Services during any downtime or discontinuance. Nothing in these Legal Terms requires us to maintain or support the Services, or provide any corrections, updates, or new releases.
GOVERNING LAW
These Legal Terms and your use of the Services are governed by, and will be construed in accordance with, the laws of the State of Maryland, without giving effect to any conflict of law principles. These Legal Terms apply to agreements made and fully performed within the State of Maryland.
DISPUTE RESOLUTION
Informal Negotiations
To help resolve disputes efficiently and keep costs down, you and we agree that before starting arbitration (or any court proceeding where allowed), we will try to resolve any dispute, controversy, or claim related to these Legal Terms (each, a "Dispute" and collectively, the "Disputes") through informal negotiations for at least ninety (90) days. Informal negotiations begin when one Party sends written notice of a Dispute to the other Party. "Party" means you or us; "Parties" means both of us together.
Binding Arbitration
If the Parties cannot resolve a Dispute through informal negotiations, the Dispute (except those specifically excluded below) will be finally and exclusively resolved by binding arbitration. BY AGREEING TO ARBITRATION, YOU UNDERSTAND THAT YOU ARE WAIVING YOUR RIGHT TO SUE IN COURT AND TO HAVE A JURY TRIAL.
The arbitration will be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (AAA) and, if applicable, the AAA’s Supplementary Procedures for Consumer-Related Disputes (the "AAA Consumer Rules"), and will follow the AAA’s rules regarding fees and arbitrator compensation, as limited by the AAA Consumer Rules where applicable.
The arbitration may be conducted in person, through written submissions, by phone, or online. The arbitrator will issue a written decision and is not required to provide a statement of reasons unless requested by either Party. The arbitrator must apply applicable law, and any award may be challenged if the arbitrator fails to do so.
Except where otherwise required by applicable AAA rules or applicable law, the arbitration will take place in Maryland, United States. The Parties may go to court to compel arbitration, to stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the arbitrator’s award.
If, for any reason, a Dispute proceeds in court rather than arbitration, the Dispute must be brought in the state or federal courts located in Maryland, United States, and the Parties consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens regarding, venue and jurisdiction in those courts.
The following are excluded from these Legal Terms: the United Nations Convention on Contracts for the International Sale of Goods, and the Uniform Computer Information Transactions Act (UCITA).
Time limit: Any Dispute related to the Services must be commenced within one (1) year after the cause of action arises. If not, it is permanently barred.
If any part of this arbitration provision is found illegal or unenforceable, then neither Party will be required to arbitrate any Dispute covered by that unenforceable part, and that Dispute will instead be decided by a court of competent jurisdiction in the courts listed above, and the Parties agree to submit to that court’s personal jurisdiction.
Restrictions
The Parties agree that any arbitration will be limited to the Dispute between the Parties individually. To the fullest extent permitted by law, no arbitration will be joined with any other proceeding; there is no right or authority for any Dispute to be arbitrated on a class-action basis or to use class action procedures; and there is no right or authority for any Dispute to be brought in a representative capacity on behalf of the general public or any other persons.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following types of Disputes are not subject to the informal negotiations and binding arbitration provisions above: (a) any Dispute seeking to enforce or protect, or concerning the validity of, a Party’s intellectual property rights; (b) any Dispute related to or arising from allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.
If this exceptions provision is found to be illegal or unenforceable, then neither Party will be required to arbitrate any Dispute covered by the unenforceable part, and such Dispute will be decided by a court of competent jurisdiction in the courts listed above, and the Parties agree to submit to that court’s personal jurisdiction.
CORRECTIONS
The Services may contain information that includes typographical errors, inaccuracies, or omissions, including in descriptions, pricing, availability, or other content. We reserve the right, at any time and without prior notice, to correct any errors, inaccuracies, or omissions, and to change or update information on the Services.

LIMITATIONS OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE LEGAL TERMS, OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US, OR $1,000.00 USD.
Some US states and some countries do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply to you, and you may have additional rights.
INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (a) your Contributions; (b) your use of the Services; (c) your breach of these Legal Terms; (d) your breach of any of your representations and warranties in these Legal Terms; (e) your violation of any third party’s rights, including but not limited to intellectual property rights; or (f) any intentional or overt harmful act by you toward another user of the Services with whom you connected via the Services.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you must indemnify us, and to require you to cooperate (at your expense) with our defense of such claims. We will use reasonable efforts to notify you of any claim, action, or proceeding covered by this indemnification as soon as we become aware of it.

MISCELLANEOUS
These Legal Terms, together with any policies or operating rules we post on or in connection with the Services, form the entire agreement and understanding between you and us regarding the Services. Our failure to exercise or enforce any right or provision of these Legal Terms does not mean we waive that right or provision. These Legal Terms apply to the fullest extent permitted by law. We are not responsible or liable for any loss, damage, delay, or failure to act caused by any event or circumstance beyond our reasonable control.
